These Terms of Service (“Terms”) govern your access to and use of rosesociety.com (the “Site”) and your purchase of any products from Rose Society. The Site is operated by RS Holding Company, a Delaware corporation (“Rose Society,” “we,” “us,” or “our”).
By using the Site or placing an order, you agree to these Terms. If you do not agree, please do not use the Site.
1. Eligibility
You must be at least 18 years old and able to enter into a binding contract to use the Site or place an order. By purchasing, you confirm that the payment method is yours and that the information you provide is accurate and complete.
2. Our Products
Rose Society pieces are made and finished by hand, in limited numbers, and many are made to order or one of one. Because each piece is worked by hand in natural materials, slight variations in color, print placement, embroidery, beadwork, and drape are inherent to the craft and are not defects. Screens and devices display color differently, and we cannot guarantee that colors shown on your screen exactly match the finished piece.
3. Orders and Acceptance
Your order is an offer to purchase. A confirmation email acknowledges that we have received your order, and it does not by itself form a contract. A contract is formed only when we accept your order, which we do when we begin production or dispatch the piece, as applicable.
We may decline or cancel an order at our discretion, including where a product is unavailable, where there is an error in pricing or description, or where we suspect fraud or a breach of these Terms. If we cancel an order you have paid for, we will refund the amount charged for the cancelled items.
4. Pricing and Payment
Prices are shown in US dollars and may change at any time before you place an order. Payment is authorized when you place your order and is processed by our third-party payment processor. For made-to-order and bespoke pieces, payment is taken as set out at checkout so that work can begin.
If a product’s price is listed incorrectly due to an error, we may cancel the affected order even if it has been confirmed, and we will refund any amount charged.
5. Shipping, Title, and Risk
We ship within the United States and worldwide. Delivery timeframes are estimates and are not guaranteed. Please allow time for a made-to-order piece to be produced before it ships.
Title and risk of loss pass to you upon delivery. Orders are released to an adult signature. For international orders, any duties, taxes, and import charges are set by the destination country and are the responsibility of the recipient. Full details are set out on our Shipping page and in our FAQ.
6. Returns, Cancellations, and Care
In the tradition of the couture houses, and because each piece is made to order and finished by hand for one person alone, all sales are final. Once production of a piece has begun, orders cannot be changed or cancelled.
Where a piece arrives damaged or with a genuine fault, please contact us promptly at atelier@rosesociety.com, and we will make it right, by repair or replacement, at our discretion.
Nothing in these Terms limits any rights you have under applicable consumer protection law that cannot be excluded. Where the law provides a right to cancel, that right may not apply to goods that are made to your specifications or clearly personalized, including made-to-order and bespoke pieces.
You are responsible for caring for your piece in line with the guidance on our Product Care page.
7. Bespoke and Made-to-Order Pieces
For made-to-order and bespoke pieces, you are responsible for the accuracy of the measurements and specifications you provide. Because these pieces are created for you, they cannot be cancelled once production begins and are not eligible for return, except where they arrive damaged or with a genuine fault.
8. Intellectual Property
The Site and its contents, including text, images, graphics, designs, logos, and the names “Rose Society” and the marks of RS Holding Company, are owned by or licensed to us and are protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial purposes. You may not copy, reproduce, distribute, modify, or create derivative works from any part of the Site without our prior written consent.
9. Acceptable Use
You agree not to use the Site unlawfully, to interfere with its operation or security, to attempt unauthorized access, to scrape or harvest data, or to use it in any way that infringes the rights of others.
10. User Submissions
If you submit content to us or tag us on social media, you grant RS Holding Company a non-exclusive, worldwide, royalty-free license to use, reproduce, and display that content in connection with Rose Society, and you confirm you have the rights to grant this license. We are not obligated to use any submission.
11. Third-Party Links
The Site may contain links to third-party websites and services that we do not control. We are not responsible for their content, products, or practices, and your use of them is at your own risk.
12. Disclaimers
The Site and products are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free.
13. Limitation of Liability
To the fullest extent permitted by law, RS Holding Company and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to your use of the Site or any product. Our total liability for any claim relating to a product or the Site will not exceed the amount you paid for the product giving rise to the claim.
Some jurisdictions do not allow certain limitations, and in those jurisdictions our liability is limited to the greatest extent permitted by law.
14. Indemnification
You agree to indemnify and hold harmless RS Holding Company and its officers, employees, and agents from any claims, losses, liabilities, and expenses, including reasonable legal fees, arising out of your breach of these Terms or your misuse of the Site.
15. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Subject to Section 16, the state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site.
16. Dispute Resolution
Any dispute arising out of or relating to these Terms or your purchase will be resolved by final and binding arbitration administered by a recognized arbitration provider, on an individual basis, and judgment on the award may be entered in any court of competent jurisdiction. You and Rose Society waive the right to a jury trial and the right to participate in a class action or class arbitration. You may opt out of this arbitration provision by writing to atelier@rosesociety.com within 30 days of your first order. This Section survives termination of these Terms.
17. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms.
18. General
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent, and we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Site and your purchases.
